These Affiliate Terms ("Terms") govern participation in the FileFlippers™ affiliate programme ("Programme"). By participating in the Programme, you agree to these Terms, which form part of the Terms of Service.
The Programme allows eligible participants ("Affiliates") to earn commission by referring new paying customers to FileFlippers™ using a unique tracking link.
1. Eligibility
1.1. To participate in the Programme, you must:
- Hold a registered FileFlippers™ account in good standing.
- Be on a Pro Flipper or Squad Flipper plan.
- Be at least 18 years of age.
- Not be an employee, contractor, or director of FileFlippers Limited.
1.2. We reserve the right to approve or reject applications to the Programme at our discretion.
2. Commission Structure
2.1. Commission is earned on the net subscription revenue (excluding VAT and payment processing fees) of referred users who subscribe to a paid plan.
2.2. Current commission rates are displayed in the Referrals section of your dashboard. We reserve the right to change commission rates with 30 days' notice.
2.3. Commission is earned only on the first 12 months of a referred user's subscription, unless we notify you otherwise in writing.
2.4. You earn no commission on:
- Free plan sign-ups.
- Renewals of existing subscriptions not referred by you.
- Transactions made by users who already held a FileFlippers™ account at the time of clicking your link.
- Transactions resulting from self-referral.
3. Tracking & Attribution
3.1. Each Affiliate is assigned a unique referral link. Commission is attributed when a new user signs up within 60 days of clicking your referral link (the "attribution window").
3.2. Attribution is last-click. If a user clicks multiple affiliate links before signing up, commission is attributed to the most recent valid click.
3.3. Tracking relies on the ff_ref cookie (60-day expiry). If a user clears their cookies or uses a different device, attribution may not be recorded. FileFlippers™ is not liable for untracked referrals.
3.4. You must not modify, obscure, or redirect your referral link in any way that disrupts tracking.
4. Payments & Minimum Thresholds
4.1. Commission is paid monthly in arrears, subject to a minimum payout threshold of £25. Balances below this threshold roll over to the following month.
4.2. Payouts are made via our payment provider to the bank account or payment method you connect in your dashboard.
4.3. You are responsible for ensuring your payout details are accurate and up to date. FileFlippers™ is not liable for failed or misdirected payments resulting from incorrect details.
4.4. Commission becomes payable 30 days after the referred subscription payment clears, to allow for chargebacks and cancellations.
5. Clawback & Reversals
5.1. Commission may be reversed or withheld in the following circumstances:
- The referred user's payment is refunded, charged back, or reversed.
- The referred user cancels their subscription within 30 days of the payment on which commission was earned.
- The referral is found to be fraudulent, self-referred, or in breach of these Terms.
- The referred user's account is terminated for violation of the Terms of Service.
5.2. Reversed commission will be deducted from your current or future balance. If your balance is insufficient to cover a reversal, we may invoice you for the difference.
6. Tax Responsibilities
6.1. You are solely responsible for declaring and paying any taxes, including income tax and VAT, arising from commission you receive. FileFlippers™ does not withhold tax on affiliate payouts.
6.2. If you are VAT-registered in the UK or another jurisdiction where VAT applies to your services, you may be required to issue a VAT invoice for commission received. We will provide reasonable assistance with documentation upon request.
6.3. We will report affiliate commission payments to HMRC as required by applicable law.
7. Disclosure Requirements
7.1. You must clearly disclose your relationship with FileFlippers™ whenever you promote FileFlippers™ using your affiliate link. This is a legal requirement under:
- The UK Consumer Protection from Unfair Trading Regulations 2008.
- The ASA/CAP Code (UK advertising rules), including the CAP guidance on affiliate marketing.
- The FTC Endorsement Guides (if you have a US audience).
7.2. Disclosure must be clear, prominent, and upfront — before the affiliate link. Examples of acceptable disclosure: "Ad", "Affiliate link", "I earn commission if you sign up". Burying disclosure in footnotes or terms pages is not compliant.
7.3. You must not imply that your promotion is editorial, independent, or unsponsored when it is driven by an affiliate relationship.
7.4. Failure to disclose may result in suspension or termination from the Programme, and may expose you to regulatory action from the ASA or ICO.
8. Prohibited Conduct
You must not:
8.1. Self-refer — create additional accounts or encourage others to sign up on your behalf without genuine intent to use the Platform.
8.2. Use paid search advertising that targets FileFlippers™ brand terms (e.g. bidding on "FileFlippers™" or "FileFlippers™" as keywords) without our prior written consent.
8.3. Use spam, unsolicited email, or any communication method that violates the Privacy and Electronic Communications Regulations 2003 (PECR) or equivalent law.
8.4. Make false or misleading claims about FileFlippers™, its features, pricing, or availability.
8.5. Represent yourself as an employee, agent, or official spokesperson of FileFlippers™.
8.6. Use cookie stuffing, forced clicks, or any other method to generate fraudulent commission.
8.7. Promote FileFlippers™ on platforms or in content that violates our Acceptable Use Policy.
9. Termination
9.1. Either party may terminate participation in the Programme at any time by giving written notice.
9.2. We may terminate your participation immediately and without notice if we reasonably determine that you have breached these Terms, engaged in fraud, or taken any action that damages FileFlippers™' reputation or interests.
9.3. On termination:
- Your referral link will be deactivated. No further commission will accrue.
- Accrued and unpaid commission that has passed the 30-day clearing period (see Section 4.4) will be paid at the next scheduled payout date, unless terminated for fraud or breach.
- Commission subject to clawback (see Section 5) may be withheld pending resolution.
10. Changes to These Terms
10.1. We may update these Terms from time to time. We will notify you by email at least 30 days before material changes take effect.
10.2. Continued participation in the Programme after the updated Terms take effect constitutes acceptance. If you do not agree, you must terminate your participation before the new Terms take effect.
